Terms of Service

Welcome to J-Labs Space ("Company", "we", "our", or "us"). These Terms of Service ("Terms") govern your access to and use of our website development, content creation, and related digital services (collectively, the "Services").

By accessing or using our Services, signing a project proposal, or issuing a statement of work, you ("Client", "you", or "your") agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use our Services.

1. Scope of Services

J-Labs Space provides professional digital solutions, including but not limited to website design, web development, content creation, copywriting, and digital assets creation. The specific details, milestones, deliverables, and timelines for any project will be outlined in a separate written Proposal, Quotation, or Statement of Work (SOW) executed between J-Labs Space and the Client.

2. Client Responsibilities & Cooperation

To ensure successful project delivery, the Client agrees to:

• Provide timely, accurate, and complete information, feedback, text, branding assets, images, and other materials required for the project.
• Designate a primary point of contact authorized to make binding decisions and approvals regarding the project scope and deliverables.
• Secure any necessary legal rights, licenses, or permissions for all text, images, and media provided to J-Labs Space for inclusion in deliverables.

J-Labs Space shall not be liable for project delays, errors, or additional expenses caused by the Client’s failure to provide resources, assets, or approvals in a timely manner.

3. Fees, Invoicing, & Payment Terms

All fees for Services will be specified in the relevant project Proposal or SOW. Unless otherwise stated in writing, the following standard payment conditions apply:

1. Deposit: A non-refundable upfront deposit (typically 50% of the total project value unless specified otherwise) is required before any design, development, or content work begins.
2. Milestone Payments: Remaining payments will be invoiced upon the completion of specified project milestones or upon final delivery, as outlined in the SOW.
3. Late Payments: Invoices not paid within fourteen (14) days of the invoice date may incur late payment charges calculated at a rate of 1.5% per month, or the maximum amount permitted by applicable law, on the outstanding balance.
4. Suspension of Service: J-Labs Space reserves the right to halt work, withhold deliverables, or suspend live websites/hosting if any invoice remains unpaid past its due date.

4. Revisions & Scope Changes

Our standard proposals include a defined number of revision rounds (typically up to two rounds of minor modifications) during the designated review phases. Any revision requests that go beyond the agreed-upon count, or requests that modify the core project framework, architecture, or original brief, will be classified as a Change of Scope. Such changes will require an additional written cost estimate and may extend the target project deadline.

5. Intellectual Property Rights

5.1 Company Intellectual Property

J-Labs Space retains ownership of all underlying methodologies, pre-existing code frameworks, software modules, generic templates, workflows, and proprietary tools utilized or created during the performance of the Services.

5.2 Client Ownership upon Full Payment

Upon receipt of full and final payment of all outstanding invoices, J-Labs Space assigns and transfers to the Client all exclusive intellectual property rights, title, and interest in the specific, final customized visual assets, copy text, and custom code deliverables generated explicitly for the Client's project.

5.3 Third-Party Assets

Any third-party components, stock images, fonts, plug-ins, or open-source libraries integrated into the deliverables are subject to their respective third-party licenses. The Client is solely responsible for maintaining and complying with any associated licensing terms and recurring registration fees.

6. Warranties & Disclaimers

J-Labs Space commits to performing the Services in a diligent, professional, and workmanlike manner in accordance with standard digital industry practices. Except as explicitly stated herein, all deliverables are provided on an "as-is" and "as-available" basis.

To the maximum extent permitted by law, J-Labs Space disclaims all other warranties, explicit or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, website uptime, continuous security against cyber threats, or search engine ranking outcomes.

Both parties agree to treat all business strategies, source code, financial details, proprietary marketing frameworks, and operational data disclosed during the collaboration as strictly confidential. Neither party shall share or disclose such confidential information to third parties without the explicit prior written authorization of the disclosing party, except as required by legal mandates or court orders.

9. Term and Termination

Either party may terminate a project agreement or SOW for convenience by providing thirty (30) days' prior written notice to the other party. In the event of termination, the Client agrees to pay J-Labs Space for all completed milestones, hourly work, and non-refundable commitments incurred up to the effective date of termination. Upon receipt of such payment, J-Labs Space will turn over all work-in-progress materials completed up to that point.

10. Governing Law & Jurisdiction

These Terms, along with any separate project agreements, shall be governed by, interpreted, and construed in accordance with the laws of Singapore. Any legal actions, disputes, or proceedings arising out of or in connection with these Terms shall be submitted to the exclusive jurisdiction of the competent courts located within that territory.

11. Amendments

J-Labs Space reserves the right to amend or update these Terms of Service at any time by posting the updated version on our website. The "Last Updated" date at the top of this document will reflect the revision date. Continued engagement of our Services after amendments have been published constitutes acceptance of the updated Terms.
